Constitution & By-Laws for the Southern Pygmy Goat Club
Article 1: Name of Organization
The name of this organization shall be: the Southern Pygmy Goat Club (SPGC)
Article 2: Purpose
The purpose of this club is to promote, through friendship, support and fellowship, the pygmy goat. It is also to enhance the pygmy goat through education, proper breeding, and exhibiting that conforms to the rules and standards of the National Pygmy Goat Association (NPGA).
Article 3: Membership
Membership is open to any person, family, or association interested in the breeding, selling, exhibiting or promotion of the pygmy goat.
A. No member shall act in behalf of the club without the consent of the Directors.
B. Dues are payable March 1st of each year and a member or members will be considered in arrears and not be afforded the rights and privileges of membership if not paid by March 31st of each year.
Memberships shall be due March 1st regardless of when the original membership was paid. Dues are: $20.00 yearly.
C. Any member who willfully acts in a manner detrimental to the club shall be expelled if the Board of Directors has a two-thirds vote against them. Any member has the right to bring forth a charge against any other member. Complaints should be lodged, in writing, with the President or the Board of Directors. If charges are lodged against a member, that member may be present to represent him/herself at the meeting of the Board of Directors.
D. Memberships are allowed the following voting rights:
Family Membership: 2 votes
Members must be present at meeting to vote.
Article 4: Location
The location of this club is the southeastern United States, NPGA Region 8, but it is open to any interested person in any region or state.
Article 5: Officers
The officers of the club shall be: President, Vice President, Secretary, Treasurer, Newsletter Editor, Website Manager, Public Relations Director, and two Members at Large. These officers constitute the Board of Directors.Members at Large may be serving in other SPGC or NPGA positions.
A. The term of office in the club shall be two consecutive years with the exception of club President which will have a term of one year.
B. Elections will be held at the first club meeting of the year. Members must be present to vote. Nominations for club officers can be made prior to the meeting by contacting the club President before the meeting for elections.
C. New officers shall be installed as the last order of business of that meeting and assume the duties of their office the following day.
D. If an office is vacated before the end of a normal term, the Board of Directors shall appoint someone to fill the vacancy until the next scheduled meeting at which time an election will be held to fill the position.
E. Any officer not performing his/her duties to benefit of the club can be removed from office by a vote of 51% of the voting membership attending the meeting as long as a quorum (10 voting eligible members) are present.
Article 6: Duties of Officers
1. President
The President shall preside over all official club meetings. He/She shall direct or appoint a director or chairman over all committees or functions.
2. Vice President
The Vice President shall act in the President’s absence. He/She shall assist the President as necessary to organize the shows, meetings or functions of the club.
3. Treasurer
The Treasurer shall collect all funds of the club and keep said funds in an approved club account. He/She shall make financial reports to the club at regular and special called meetings. He/She shall keep a record of all financial business with receipts, vouchers, and billing records of such.
All checks and withdrawals from the account shall be made by the Treasurer, club President, and one other person designated by the Board of Directors. The Treasurer must furnish a bank statement at all club meetings; further, the Treasurer must furnish the President with a copy of the statement from the bank or from his/her records. This should be done monthly.
4. Secretary
The Secretary shall attend to all club correspondence and keep a record of such. He/She shall receive membership dues and maintain an up-to-date membership list. Membership dues shall be forwarded to the club Treasurer. The Secretary shall keep minutes of all meetings and maintain a permanent record of said meetings. He/She shall be prepared to read minutes of the previous meeting at all special or regularly scheduled meetings.
5. Public Relations Director
The Public Relations Director shall keep the members informed of his/her activities in promoting meetings, shows, etc., through journals, news, or other forms of advertising to promote interest in the pygmy goat, NPGA, or SPGC.
6. Newsletter Editor
The Newsletter Editor will be responsible for the publication of the SPGC bi-monthly newsletter. The newsletter shall consist of, but not be limited to: club news, show results, show dates, health articles, etc.
7. Website Manager
The Website Manager shall establish and maintain the SPGC website in a manner to promote the SPGC, pygmy goats and our shows. He/She shall update and make changes as necessary to keep the site current, answer inquiries which come into the club’s website e-mail address and/or route inquiries to the appropriate parties. The Website Manager shall route to club members’ e-mail addresses any pertinent announcements which are sent to the club through the website.
8. Members at Large
Members at Large shall assist with board decisions, policy making, show schedules, and act as liaison between the officers and members.

Article 8: Club Committees
The President shall appoint a show chairman and work with the show chairman in appointing a show secretary, photographer, facility set-up crew, ring steward, silent auction coordinator, judge coordinator, health committee and assistants as necessary to maintain a cohesive and coordinated show.
Any member in good standing may serve on this committee including the President. The Show Secretary shall assure that the results of the show are sent to the editor of the NPGA Memo.
The President shall appoint other committees to carry out duties or functions deemed necessary by the Board of Directors or President. The President may serve as chairman of appointed committees or he/she may appoint a chairman or director. The President will be considered an ex-official member of all committees.
Article 9: Bereavement Policy
In the case of death, the SPGC will send flowers for members and their immediate families. Further, certain other persons who have been instrumental in supporting or furthering the interest of the SPGC or NPGA as recognized by the President, the Treasurer, or other members of the Executive Board shall be treated as if they were bonafide members. Immediate family is defined as persons that are covered by the family’s membership. In the case of serious sickness or hospitalization, the SPGC will send cards. No one in the club shall have authority to send flowers to persons not authorized by this plan. If anyone in the club knows of a death of a club member or other person covered by this policy, they should notify the President or Treasurer. No more than $100.00 per incident shall be spent on florist charges.
Article 10: Amendments
The By-Laws may be amended at a regular or special called meeting by a majority of active members present and voting. Members shall be notified in writing at least 30 days prior to the business meeting of recommended amendments. Outcome of the proposed amendment changes shall be given in the following club newsletter. A quorum must be present at the time the amendment is voted on or changed. (A quorum is at least 10 voting members present & voting at the meeting.)
Article 11: Club Dissolution
The Southern Pygmy Goat Club may be dissolved with a 66% vote of members in good standing. All funds and assets shall be donated to the NPGA (National Pygmy Goat Association) scholarship fund. Members must be notified in writing 30 days prior to the dissolution vote.
